TWINBASE TERMS OF USE

1 INTRODUCTION

1.1 These Terms of Use (“Terms of Use”) of Twinbase Oy (Business-ID: 3504505-7) (“Twinbase”) apply to Your use of Twinbase’s services.

1.2 Twinbase Oy provides a cloud-based data integration service called TwinSync. The Service enables construction product manufacturers and suppliers to automatically synchronize standardized product data between their internal systems (such as PIM or ERP systems) and external systems used by partners, including public product databases.

TwinSync acts as a secure, configurable integration layer that allows customers to map, validate, and transfer data across system boundaries. It helps reduce manual work and ensures consistency and accuracy of product data across the construction value chain.

The Service may involve the processing of personal data, such as user account details, authentication credentials, and usage data, to enable secure access, service functionality, and monitoring. (“Service”). Use of the Service requires an account and acceptance of these Terms. By using the Service, You agree to these Terms of Use.

1.3 If you do not agree to these Terms of Use, You may not use the Service.

2 DEFINITIONS

Customer” means the legal entity or individual that has entered into the service agreement with Twinbase.

Service” means Twinbase’s data synchronization and integration services, including the Twinsync platform, which enables Users to synchronize, compare, and manage data between different systems and databases, through which Users can access the platform. The Service includes implementation projects, automated data synchronization capabilities, and data viewing tools.

User” means each person or entity which is granted access to the Service.

We,” “Our” or “Us” means Twinbase Oy.

You” or “Your” means the individual, company or other legal entity which is Our User and for which you are accepting these Terms of Use.

3 TWINBASE’S SERVICE

3.1 The Service is provided as a Software-as-a-Service offering. Users access the Service remotely through a web-based interface and APIs. Twinbase hosts, maintains, and operates the platform infrastructure, including updates and general availability.

3.2 As part of the onboarding phase, Twinbase will integrate the Service with the user’s or client’s internal systems (e.g., Product Information Management systems) to enable structured data synchronization. The goal is to automate data flows to the extent reasonably possible; however, certain integrations or data mappings may require manual configuration.

3.3 By using the Service, the user acknowledges and accepts that the Service is delivered on a SaaS basis and may evolve over time through updates and additional features introduced by Twinbase.

4 YOUR RESPONSIBILITIES AND RIGHT TO USE THE SERVICE

4.1 By using the Service, You agree to comply with all applicable laws and regulations and these Terms of Use. If You are using the Service on behalf of a company or other legal entity, You represent and warrant that You have the authority to bind such entity to these Terms of Use. You acknowledge and agree that You are solely responsible for your actions and use of the Service, including the accuracy and completeness of the data You provide for synchronization and integration purposes. You will ensure that You have all necessary rights, permissions, and valid subscriptions to the target platforms and databases required for the data synchronization. You will not use the Service for any unlawful or prohibited purposes.

4.2 You are granted a limited, non-transferable right to access and use our Service in accordance with these Terms of Use during the term of the service agreement with the Customer. We may modify, update, or discontinue the Service at any time.

5 TRIAL USE TERMS

5.1 These terms apply when using, downloading, or installing a trial, beta, or free version of the Service, or when a license is granted expressly for evaluation purposes. As the Service is provided for free, Twinbase has no obligation to offer support or maintenance. We reserve the right to terminate your license or change the Service at any time, including converting free features to chargeable ones when separately agreed. The license is granted solely for evaluation for a specified trial period, starting from the registration date. After the trial period, you must purchase a license or discontinue using the Service.

6 INTELLECTUAL PROPERTY RIGHTS

6.1 All intellectual property rights, including but not limited to copyrights, trademarks, patents, and trade secrets, in and to our Service belong to Us or our licensors. You may use our Service only for the purposes of using the Service in accordance with these Terms of Use. Any other use, including but not limited to reproduction, modification, distribution, transmission, republication, display, or performance of the content of our Service, without our prior written consent, is strictly prohibited. Any unauthorized use of our intellectual property rights may result in civil and criminal penalties.

7 CHANGES TO THE SERVICE AND SUSPENSION

7.1 We may make changes to the Service and will make our best to inform you in advance of such changes.

7.2 We reserve the right to suspend the Service for a reasonable period if it’s necessary for us to conduct installation, change, or maintenance work concerning the Service. When we decide to suspend the Service, We will do our best to inform you about the suspension and its expected duration in advance and make every effort to minimize any inconvenience the suspension might cause to You.

8 TERMINATION

8.1 We may suspend or terminate Your access immediately without any liability, upon notice, if in Our sole judgement, You have violated these Terms of Use or any other policy.

9 LIABILITY

9.1 Twinbase cannot be held liable for any damage caused to the Users or to third parties as a consequence of performance of these Terms of Use, including any trial or free use of the Service.

9.2 Access to the Service is being provided solely for use in accordance with these Terms of Use. For clarity, trial use of the Service is provided entirely at the User’s own risk and without any warranties or representations from Twinbase.

9.3 Except as expressly provided otherwise in these Terms of Use, the Service is provided on an “as is” basis, exclusive of any express or implied warranties thereof. We disclaim all implied warranties, including without limitation any implied warranties of merchantability and fitness for a particular purpose.

9.4 You agree to use the Service at Your own risk and to comply with all applicable laws and regulations. We are not liable for any harm, loss, or damage that may arise from the use of the Service.

9.5 We shall not be liable for any losses or damages whatsoever, including but not limited to direct, indirect, special, incidental, punitive, or consequential damages, or damages based on lost profits, data, or use, however caused and, whether in contract, tort or under any other theory of liability, whether or not you have been advised of the possibility of such damages.

9.6 Our maximum liability under these Terms of Use shall in no event exceed one hundred (100) euros.

10 PRIVACY AND DATA PROTECTION

10.1 We value your privacy and are committed to protecting your personal information. We will only collect, use, and disclose your personal information in accordance with our Privacy Policy. The Service collects user and organizational information necessary for service operation, as well as usage data for service improvement purposes. The Service is hosted on third-party cloud service providers’ cloud. By using our Service, you agree to the collection, use, and disclosure of your personal information in accordance with our Privacy Policy, which is incorporated into these Terms of Use by reference. Please review our Privacy Policy carefully to understand our practices regarding the collection, use, and disclosure of your personal information. If you do not agree with our Privacy Policy, please do not use our Service.

11 APPLICABLE LAW AND DISPUTE RESOLUTION

11.1 These Terms of Use shall be governed by and construed in accordance with the laws of Finland to the exclusion of the rules on the conflict of laws that lead to the application of the laws of another jurisdiction.

11.2 Any dispute, controversy or claim arising out of or relating to these Terms of Use, or the breach, termination, or validity thereof, shall be finally settled in the district court of Helsinki, Finland.

11.3 By accepting these Terms of Use, You acknowledge that You have read and understood the terms and agree to be bound by these Terms of Use.

12 CHANGES TO THE TERMS OF USE

12.1 We may update these Terms of Use from time to time. We will notify You of any significant changes by posting a notice on our website.
